Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of BIAN Business Intelligence or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our material without our prior written consent, except as follows:

• You may print or download one copy for your personal, non-commercial use
• You may use materials as expressly authorized in writing by us

Payment Terms

If you purchase services from us, you agree to provide accurate and complete payment information. Payment terms will be specified in the service agreement or invoice. You agree to:

• Pay all fees according to the agreed payment schedule
• Provide valid payment method information
• Notify us of any billing discrepancies within 30 days
• Pay any applicable taxes

Late payments may result in suspension of services and may incur late fees as specified in your service agreement. We reserve the right to change our fees upon reasonable notice.

Cancellation and Refunds

Cancellation and refund policies will be specified in your service agreement. Generally:

• Service cancellations must be made in writing
• Refunds are processed according to the terms of your agreement
• Work completed prior to cancellation is non-refundable
• Certain services may have different cancellation policies

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This includes but is not limited to:

• Business strategies and plans
• Financial information
• Technical data and methodologies
• Customer and supplier information
• Any information marked as confidential

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or with the express permission of the disclosing party.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Violation of applicable laws
• Fraudulent or illegal activity

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation before pursuing litigation.

You agree to submit to the exclusive jurisdiction of the courts located in London, United Kingdom for the resolution of any disputes.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms.
